Draft — pending legal review

This document describes how EPWT operates and is being finalised with our legal advisers. Until then it is provided for information and may change. It is not yet the binding agreement between you and EPWT.

These terms govern your use of the EPWT Marketplace app and website ("EPWT", "we", "us"). By creating an account, browsing, or placing an order, you agree to them. If you do not agree, please do not use the platform. Please also read our Privacy Policy and Acceptable Use Policy, which form part of these terms.

1. Who we are

EPWT is a Nigerian online retailer of verified energy, protection, wellness and consumer-technology goods. We sell as principal: when you buy on EPWT, you are buying from EPWT as the merchant of record. Where a product is supplied by a partner or resold by a member, we still handle your payment, fulfilment and support.

We collect all customer payments through Paystack. We do not operate a wallet, escrow, stored-value or custodial money product, and we do not take customer deposits.

2. Your account

You sign in using your phone number, Google, or Apple, or you may browse and check out as a guest. You are responsible for the activity on your account and for keeping your sign-in method secure. You may link more than one sign-in method to the same account from your profile so that your history stays together.

You must give accurate information (including a correct delivery address and recipient details) and keep it up to date. We may suspend or close an account that is used for fraud, that breaches our Acceptable Use Policy, or where we are required to by law.

You must be old enough to enter a binding contract under Nigerian law to buy on EPWT.

3. Buying on EPWT

Product listings, images and descriptions are provided in good faith. Placing an item in your cart does not reserve stock. A contract of sale is formed when your payment is confirmed and we accept your order. If an item becomes unavailable after you pay, we will cancel that line and refund it (see section 6).

Some products have variants (such as size or colour) and limited stock. Stock is decremented when your payment is confirmed.

4. Pricing & payment

Prices are shown in Nigerian Naira. Every product shows a market price. Active members also see a lower member price on eligible items. The price you pay, and any delivery fee, are calculated and shown to you at checkout before you pay — the amount you confirm is the amount charged.

Payment is processed by Paystack (card, bank transfer, or USSD). We do not store your full card details. A payment is only confirmed when Paystack confirms the charge to us; a page redirect, on its own, does not confirm payment. Bank-transfer and USSD payments may take a short time to confirm, which is normal.

5. Delivery & fulfilment

EPWT fulfils every order. Items ship from the EPWT coordinator responsible for the product's origin state directly to your delivery address. An order that contains items from more than one state may arrive in more than one delivery, each with its own tracking, and may reach you at different times.

Delivery fees are calculated by the weight of the item and the distance from its origin state to your delivery state. You always see the exact delivery cost at checkout before paying. Delivery time estimates are estimates, not guarantees.

6. Confirmation, disputes & refunds

After an item is delivered you have a short window to confirm you received it. If you do not confirm, we automatically confirm it after a set period. A further short window then runs during which you may raise a dispute; after that window closes with no open dispute, the order line completes.

You may raise a dispute on a delivered (or shipped) item if it did not arrive or is significantly different from its description. Our team reviews the dispute. If it is upheld, that item is refunded; if it is rejected, the order line completes as normal. Fulfilment disputes are handled in-app. A wrong or unauthorised charge is a payment matter — contact support, or your bank, rather than the in-app dispute flow.

You may cancel an item before it has been dispatched. Once dispatched, cancellation is no longer available and a dispute is the route instead.

Refunds. A refund is always returned to your original payment channel (the card, bank or USSD you paid with) through Paystack. Refunds are never paid into an in-app balance. Where an item was already shipped, or where the refund is not due to an EPWT fault, the Paystack transaction fee and any return-shipping cost may be deducted from the refund, in line with the fee settings shown at the time. Where EPWT is at fault (for example we cannot fulfil the order), you are refunded in full. Paystack settles refunds on its own timeline, which can take a few business days to appear on your statement.

7. Membership

Membership is an optional paid annual subscription. It gives you member pricing on eligible products, a referral ID, an earnings record (see section 8), and the ability to resell items you buy (see section 9). Membership is granted or renewed automatically when your payment succeeds; there is no separate approval.

Membership expires after its term. A lapsed membership reverts you to a standard buyer — you lose member pricing, referral earning and earnings accrual — until you renew. The membership fee is shown before you pay and may change from time to time; a change does not affect a term you have already paid for.

8. Earnings, referrals & payouts

Active members can earn: a reward on qualifying purchases, and a referral reward when someone they referred makes a qualifying purchase. Referrals are single-level — the reward goes to the direct referrer only, and no further up any chain.

Earnings are shown in your app under a section labelled "Wallet". To be clear about what this is:

The in-app "Wallet" is a record of what EPWT owes you from your completed earnings. It is not a stored-value or custodial wallet: you cannot deposit into it, top it up, load it from a card, or send money to another user, and it holds no customer funds. A balance appears only when EPWT credits your earned, completed proceeds, and leaves only when you withdraw it to your own verified Nigerian bank account by Paystack Transfer.

An earning first appears as pending and is not withdrawable. It becomes available only after the related order line completes (delivered, confirmed, and the dispute window elapsed with no open dispute). If that order is later refunded or a dispute is upheld, the related earning is voided.

Withdrawals are paid by Paystack Transfer to a Nigerian bank account whose account name matches your identity. A minimum withdrawal amount applies, and withdrawals above a set ceiling require admin approval before they are sent. If a transfer fails or is reversed, the amount is credited back to your earnings record so that nothing is lost. Any transfer fee may be deducted per the settings shown at the time.

9. Member resale (consignment)

As a member, when you buy an eligible item you may choose to keep it for resale instead of having it shipped to you. The physical unit stays in EPWT custody. You may then list it for resale at a price up to the cap set for that product.

When another buyer purchases your listing, EPWT handles their payment and ships the unit from custody to them. After that order completes, the resale proceeds are credited to your earnings record and follow the same pending-then-available rule as any other earning (section 8). If the resale order is cancelled before dispatch, the listing is returned to you and the item goes back into your held inventory. You may also change your mind and have a held item shipped to you, paying only the delivery fee.

This is a consignment arrangement: EPWT sells your held unit on your behalf and pays you the proceeds after completion. It is not a deposit, a wallet, or a peer-to-peer transfer of money.

10. Third-party sellers

Third-party vendors are not live on EPWT at this time. If and when they are introduced, a separate vendor agreement and verification (KYC) process will apply, a vendor will be able to list only in a state where EPWT has an active coordinator, and EPWT — not the vendor — will collect payment, fulfil, and handle the buyer. A vendor will be paid only after the order line completes, by Paystack Transfer to a bank account verified against their identity. This section is informational until vendors go live.

11. Acceptable use

You agree not to use EPWT for anything illegal, and not to list, buy, or pay for prohibited goods or engage in payments abuse. The full list is in our Acceptable Use Policy, which forms part of these terms. We may remove listings, cancel orders, void earnings, withhold withdrawals, and suspend accounts for a breach, and report to Paystack, banks or law enforcement where required.

12. Liability

We work to describe products accurately and to deliver them in good condition. To the extent permitted by Nigerian law, EPWT is not liable for indirect or consequential loss, and our total liability for any order is limited to the amount you paid for that order. Nothing in these terms removes any right you have under applicable Nigerian consumer-protection law.

13. Changes to these terms

We may update these terms from time to time. When we do, we will update the "last updated" date above, and significant changes will be notified in-app. Continuing to use EPWT after a change means you accept the updated terms.

14. Contact & governing law

These terms are governed by the laws of the Federal Republic of Nigeria. For any question about these terms, your orders, or a complaint, contact us at support@epwt.org or through the Support section in the app.
